Manual

The Purchase Agreement

Nine sections, each individually customizable, and what we no longer guarantee for.

A purchase agreement is generated as a PDF for every sale via escrow. It is concluded between buyer and seller, not with us. The template is available under Account → Purchase Agreement and can be replaced section by section with your own text.

The Sections

  1. Subject Matter of the Contract
  2. Purchase Price and Payment
  3. Transfer
  4. Representations of the Seller
  5. Duration and Costs of the Domain
  6. Condition and Liability
  7. If Things Do Not Work Out
  8. Confidentiality
  9. Final Provisions

Placeholders

What appears in the text in curly brackets is inserted when the document is generated, both in the headings and in the body text.

Placeholder Becomes
{domain} the domain being sold, or in the case of a package, its name and the number of domains
{preis} purchase price with currency
{verkaeufer}, {kaeufer} the names of both parties
{pruefzeit} inspection period of the buyer
{uebertragungsfrist} period for transfer
{gebuehr} who bears the escrow fee

Your Own Text

Each section has a field. What you write in it applies; what you leave as is remains the template and receives later improvements. A modified section is marked as such, the wording of the template remains accessible next to it, and you can reset it individually at any time.

This includes the other side of the coin, and it is stated in the document as well: We do not guarantee modified sections. We do not review them, we do not know them, and we cannot assess whether they are valid in your country. This notice itself cannot be removed.

The Status at the Time of Sale Applies

When first generated, the wording is recorded on the transaction. If you subsequently change your template, the concluded contract remains as it was. A contract that changes retroactively would not be one.

Version by Official Authority

For a package whose sale is verified by official authority, a different version applies: ten sections instead of nine. After the subject matter of the contract comes Procedure and Conditional Approval, the representations are replaced by Position of the Seller, No Representations, and liability is reduced to what is legally permissible. This is not a concession, but necessary: whoever acts by official authority may not represent that the domain belongs to them.
